Summer opens with an especially busy month for Sirma. We held our Annual General Meeting, approved the 2025 dividend, launched a new share buyback, expanded our footprint in Romania, and earned further recognition for the Sirma.AI Enterprise platform. Here are the highlights of the period:

Annual General Meeting of Shareholders
On 18 June 2026 the regular Annual General Meeting was held in Sofia. Shareholders approved the audited 2025 financial statements and the management and auditors' reports and discharged the members of the governing bodies from liability for the year. The mandate of the Board of Directors was extended by two years. The meeting also voted to change the company's name to Sirma Group JSC, pending entry in the Commercial Register.

Dividend for 2025
The meeting approved the distribution of EUR 863,164 as a dividend from 2025 profit. The gross dividend is EUR 0.015 per share (net dividend for individuals: EUR 0.01425 per share). Shareholders recorded with the Central Depository as of 2 July 2026 are entitled to the dividend; the last trading date with dividend rights is 30 June. Payment begins on 20 July 2026. The group's 2025 profit amounts to nearly BGN 4.7 million (EUR 2.4 million), with part allocated to reserves and the remainder as retained earnings.

New Share Buyback
The Board of Directors resolved to repurchase up to 100,000 of its100,000 own shares between 18 June and 31 July 2026. The repurchased shares will be used for management remuneration and bonuses, in line with the April 2025 shareholders' resolution. The program is capped at EUR 205,000, at a price between EUR 0.43 and EUR 2.05 per share. The procedure is handled by the investment intermediary Elana Trading.

Acquisition of DynamiXRM
On 5 June 2026 our subsidiary Roweb Development completed the acquisition of the Romanian IT company DynamiXRM. Founded in 2015, DynamiXRM specializes in Microsoft Dynamics 365 CRM services and develops its own product, GoGet365. In 2025 the company reported revenue of RON 1,727,030 (up 10% year-on-year) and EBITDA of RON 451,470 at a 26.1% margin. The deal strengthens Sirma's position in the Microsoft Dynamics ecosystem and opens cross-selling opportunities into larger enterprise accounts.

Strong profitability growth in Q1 2026
The company reported revenue of nearly EUR 17.6 million for the first quarter of 2026, up around 7% year-on-year. EBITDA rose 55.7% to EUR 1.6 million and net profit doubled to EUR 0.8 million. Around 83% of revenue comes from Europe. “The first quarter confirmed our strategic progress,” commented CEO Tsvetan Alexiev.

Tsvetan Alexiev elected to the BASSCOM Board of Directors
On 1 June 2026,2026 Sirma's CEO Tsvetan Alexiev was elected to the Board of Directors of BASSCOM (the Bulgarian Association of Software Companies)—recognition of Sirma's contribution to the development of Bulgaria's IT sector.

On June 13, our SVP Travel & Hospitality, Darko Bosancic, joined Bloomberg TV Bulgaria's UpDate to discuss the forces reshaping the industry.
