
A new corporate identity: “Sirma Group Holding” becomes “Sirma Group”
Following the resolution of the Annual General Meeting of 18 June and entry № 20260706115808 in the Commercial Register dated 6 July 2026, the company's name changed from “Sirma Group Holding” JSC to “Sirma Group” JSC, effective from the registration date. The change concerns the name only: the company retains its legal personality and all rights and obligations. The ISIN (BG1100032140) and trading symbol (SIRM, on both BSE and FSE) remain unchanged, and no action is required from shareholders.
By the same resolution, the company amended its scope of business and removed its special holding purpose under Art. 277 of the Commercial Code — meaning Sirma is no longer structured as a holding company. This reflects the strategic shift from capacity-building to an integrated, platform-based model centered on enterprise AI and high-value-added software.
New share buyback program launched
On 17 June, the Board of Directors announced a new share buyback program: up to 100,000 ordinary shares (approximately 0.17% of capital) to be repurchased on the Bulgarian Stock Exchange between 18 June and 31 July 2026, with a maximum allocation of EUR 205,000 and a price range of EUR 0.43 – 2.05 per share. The buyback is executed independently by intermediary Elana Trading AD, in full compliance with the EU Market Abuse Regulation (MAR) and Regulation (EU) 2016/1052.
The program supports management remuneration and bonus arrangements and reflects the Board's continued confidence in the Group's long-term prospects. According to interim disclosures published via EQS, approximately 36,126 shares—around 36% of the program's volume—had been repurchased by 10 July. Aggregated transaction details are disclosed regularly and published on the investor relations website.
Sirma joins the CGIX corporate governance index
By a decision of the National Commission on Corporate Governance dated 10 June, Sirma's share issue (SIRM) was included in the constituent list of the Corporate Governance Index (CGIX) of the Bulgarian Stock Exchange, effective 22 June. The CGIX comprises just seven issues that demonstrate the highest standards of corporate governance. Uniquely, the index tracks not financial results but the quality of management practices, transparency, and investor relations—making inclusion one of the most prestigious distinctions available to a Bulgarian public company.
2025 dividend distribution begins 20 July
Following the resolution of the Annual General Meeting of 18 June 2026, Sirma will begin paying its 2025 cash dividend on 20 July 2026. The company distributes a gross dividend of EUR 0.015 per share (net EUR 0.01425 for individual shareholders), for a total of EUR 863,164, including dividend tax. The dividend is payable on 57,544,261 shares, after deducting 1,816,257 treasury (bought-back) shares.
The record date was 2 July 2026; all shareholders entered in the Central Depository's Book of Shareholders as at that date are entitled to receive the dividend. Payments run from 20 July 2026 to 20 January 2027 through UniCredit Bulbank AD. Shareholders served by an investment intermediary receive the dividend through them, while those holding shares in personal “Register A” accounts are paid via UniCredit Bulbank's branch network. Sirma covers all bank fees, and taxes for individual shareholders are withheld at source.

Sirma and Schwarz Digits forge a strategic alliance for sovereign AI
On 24 June, Sirma and STACKIT — the cloud and colocation provider of Schwarz Digits, the IT and digital division of the Schwarz Group — announced a strategic partnership to advance sovereign enterprise AI across Europe. The alliance makes Sirma's agentic enterprise platform, Sirma.AI Enterprise, available on and through STACKIT's certified European cloud, with data centers operated exclusively in Germany and Austria. The framework covers reselling, joint marketing, and referral activities.
The partnership directly addresses a board-level concern for European organizations: how to deploy production-grade AI without compromising data sovereignty, regulatory compliance, or operational control. “This partnership with STACKIT represents a major milestone for Sirma,” said CEO Tsvetan Alexiev. “By combining our deep AI expertise with STACKIT's robust European cloud infrastructure, we are uniquely positioned to deliver secure, scalable, and innovative solutions.”
